1. About Boon.Today

Boon.Today Inc., a Delaware corporation, provides a software platform that lets advertisers run “Ad For Good®” campaigns:

• Brands pledge at least 1 % of their paid‑media budget to vetted social or environmental causes.

• Boon.Today charges a fixed subscription fee and takes no cut of donations.

• Advertisers may run unlimited campaigns during their subscription.

2. Acceptance of these Terms

By creating an account or using the Services you agree to these Terms. If you do not agree, please do not use the Services.

3. Definitions

• “Ad For Good® Pledge” – the Brand’s commitment to allocate ≥ 1 % of its paid‑media spend to Eligible Causes.

• “Cause Partner” – a registered non‑profit or social‑purpose entity approved by Boon.Today.

• “Services” – the Boon.Today software, API, widgets, dashboards, reports, support, and any associated professional services.

• “Subscription Term” – the period stated on your Order Form (monthly, annual, or multi‑year) and any renewal terms.

4. Licensing & Use

During the Subscription Term Boon.Today grants you a personal, non‑transferable, non‑exclusive, worldwide licence to use the Services. Except as required by law you must not copy, modify, distribute, sell, rent, lease, reverse‑engineer, or de‑compile the software.

5.2 Ad For Good® License

Pricing for the full Ad For Good license is custom and depends on factors such as country coverage and media formats. Please contact doers@adforgood.com to discuss your needs and receive a tailored quote.

6. Service Level & Uptime

Boon.Today will use commercially reasonable efforts to provide 99.5 % monthly uptime (the “SLA”).

Credits are your sole and exclusive remedy for downtime. To claim a credit you must email hello@boon.today within 15 calendar days after the end of the month, citing incident dates and logs. Approved credits appear on the next invoice (or are refunded if no future invoices are due).

7. Accessibility

The Services are provided 24 / 7 except for planned maintenance notified at least 48 hours in advance. Boon.Today is not liable for outages caused by third‑party providers, force majeure, or misuse.

8. Acceptable Use, Brand‑Safety & Ad‑Fraud

You must not run unlawful, misleading, or discriminatory ads; engage in click‑fraud or other invalid‑traffic practices; or include content that breaches GARM, TAG, IAB, or equivalent brand‑safety standards. Boon.Today may suspend or remove violating campaigns without liability.

9. Green‑Claims & Cause‑Marketing

You are responsible for ensuring that any sustainability‑related claims in creative materials are truthful, substantiated, and comply with EU Directive 2024/825 (Green‑Claims), the US FTC Green Guides, and any local consumer‑protection rules.

10. Donations Flow & Transparency

All pledged funds flow directly from the Advertiser to the Cause Partner (or its designated payment processor). Boon.Today never takes custody of, or fees from, donations. With your consent we may display real‑time counters and receipts for transparency.

11. Information Provided by the Services

Information on the Services (including impact metrics) is provided “as is”. We do not warrant that it is error‑free and disclaim liability for decisions made on such information. Benchmarks and calculators are estimates only.

12. Data Protection & Cookies

Processing is governed by our Data Protection Addendum (DPA), available at https://boon.today/legal/dpa, which incorporates:

• EU GDPR (2016/679) & ePrivacy Directive 2002/58/EC

• UK GDPR & Data Protection Act 2018

• US CCPA/CPRA (California), CPA (Colorado), VCDPA (Virginia)

• Swiss FADP 2023

We are the Data Controller for account data and the Data Processor for end‑user data processed on behalf of advertisers. Cookies and similar technologies are used strictly as described in our Cookie Notice. You must implement a compliant cookie banner or CMP where legally required.

13. Intellectual Property

Boon.Today® and Ad For Good® are registered trademarks. Unauthorised use is prohibited. Feedback you choose to provide may be used by Boon.Today without restriction

14. Term, Termination & Refunds

Subscriptions renew automatically unless cancelled via the dashboard or 30 days’ written notice before renewal. A 30‑day money‑back guarantee applies to first‑time annual or multi‑year plans; monthly plans are non‑refundable. Either party may terminate for material breach (30‑day cure) or insolvency. On termination your account will close.

15. Liability

Each party’s total aggregate liability is capped at the higher of (a) USD 10 000 or (b) the fees you paid in the previous 12 months, except for death/personal injury, wilful misconduct, unpaid fees, and data‑protection fines caused by the other party’s breach. Neither party is liable for indirect or consequential loss.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to conflict‑of‑laws rules. Any dispute the parties cannot resolve in good faith within 30 days will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat of arbitration is Wilmington, Delaware, and judgment on the award may be entered in any court of competent jurisdiction.

17. Changes to these Terms

We may update these Terms to reflect changes in law or the Services. Material changes will be notified by email at least 30 days before they take effect.
